Terms of Service

1. Introduction

Welcome to Mealist! These Terms of Service (“Terms”) constitute a legally binding agreement between you and First Mango Ventures, LLC (“Mealist,” “we,” “us,” or “our”), governing your use of our mobile application, website, Chrome extension, and related services (the “Service”).

By accessing or using Mealist, you agree to these Terms and our Privacy Policy. If you disagree with these Terms, you must not use our Service.

THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION (SECTION 15) THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

2. Eligibility and Your Account

To use Mealist, you must:

Be at least 13 years of age (or the minimum age in your jurisdiction)
Have parent or guardian consent if you are a minor
Have the legal capacity to enter into a binding contract
Reside in a country where the Service is available
Provide accurate and current information during registration

You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate your account for violations of these Terms or applicable laws, with or without notice.

3. License to Use Mealist

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

You agree NOT to:

Distribute, sell, or commercially exploit the Service
Reverse engineer, decompile, or modify the Service
Remove copyright or proprietary notices
Use automated systems (bots, scrapers) to access the Service
Attempt to gain unauthorized access to our systems
Interfere with or disrupt the Service
Use the Service for any illegal purpose
Violate any applicable laws or regulations

4. User Content and Responsibility

You may create, upload, and save content through the Service, including recipes, photos, notes, and meal plans (“User Content”).

You are solely responsible for your User Content.

You represent and warrant that:

You own or have the right to use and share your User Content
Your User Content does not violate these Terms or any applicable law
Your User Content does not infringe on third-party intellectual property rights

Grant of License:
By submitting User Content, you grant Mealist a non-exclusive, worldwide, royalty-free, perpetual, transferable license to use, reproduce, modify, display, and distribute your User Content as necessary to provide and improve the Service. This license allows us to:

Display your content within the Service
Create backups and copies for technical operations
Analyze usage patterns to improve features
Show your content on your connected devices

You retain ownership of your User Content. We do not claim ownership of recipes, photos, or other content you create or import.

Content Moderation:
We may, but are not obligated to, monitor User Content. We reserve the right to remove or disable access to any User Content that violates these Terms, without prior notice.

5. Recipe Importing and Third-Party Content

Recipe Sources:
When you import recipes from third-party websites or social media:

You may only import recipes for personal, non-commercial use
We store the original source URL for attribution
You are responsible for respecting the original creator’s rights
We do not claim ownership of imported recipe content

Third-Party Rights:
Mealist respects intellectual property rights. By importing recipes, you acknowledge that:

Recipe content may be protected by copyright
You are importing for personal reference, not redistribution
You should visit the original source for the authoritative version
Original creators retain all rights to their content

We store recipes you import to provide the Service, similar to how a browser bookmark or note-taking app stores information for your personal use.

6. Subscriptions and Premium Features

Free Tier:
Our free tier allows you to save up to 20 recipes and use basic features at no cost.

Premium Subscriptions:
Premium subscriptions provide unlimited recipes and additional features. Subscriptions continue indefinitely and automatically renew unless cancelled.

Subscription Terms:

Billed monthly or annually as selected
Automatically renew at the end of each billing period
Access continues until the end of your paid period after cancellation
Features and pricing may change with advance notice

Free Trials:
We may offer free trial periods for Premium subscriptions. By starting a trial:

You authorize us to charge your payment method after the trial ends
You can cancel anytime during the trial to avoid charges
Trial eligibility may be limited (e.g., one per user)

7. Payment and Cancellation

Billing:
You will be charged the subscription fee plus applicable taxes at the start of each billing period. Payment is processed through secure third-party platforms:

Stripe (web subscriptions)
Apple App Store (iOS subscriptions)
Google Play Store (Android subscriptions)

Your use of these platforms is subject to their respective terms and conditions.

Cancellation:
You may cancel your subscription at any time:

Web users: Account Settings → Subscriptions
iOS users: iPhone Settings → Apple ID → Subscriptions
Android users: Google Play Store → Subscriptions

Cancellation takes effect at the end of your current billing period. You will retain access until that date.

Refunds:
We offer a 30-day money-back guarantee. If you are not satisfied within 30 days of your initial purchase, contact us at hello@mealistapp.com for a full refund.

After 30 days, all fees are non-refundable except as required by law. If you receive a refund through Apple or Google, we reserve the right to terminate your account.

Price Changes:
We may change subscription prices with at least 30 days’ advance notice. Changes apply to renewals after the notice period. Continuing your subscription after a price change constitutes acceptance of the new price.

8. Intellectual Property Rights

Mealist Property:
All rights, title, and interest in the Service, including software, design, trademarks, logos, and content (excluding User Content) are owned exclusively by Mealist or our licensors.

The Mealist name, logo, and related trademarks are the property of First Mango Ventures, LLC. You may not use our trademarks without express written permission.

Feedback:
If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you. Feedback becomes our sole property and may be used freely.

9. Third-Party Services

The Service may integrate with or link to third-party websites, services, or content that we do not control:

Recipe websites
Social media platforms
Payment processors
Analytics services
Cloud storage providers

We do not endorse or assume responsibility for third-party services. Your interactions with third parties are at your own risk and subject to their terms and policies.

10. Copyright Infringement and DMCA

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA).

To report copyright infringement, email hello@mealistapp.com with:

Identification of the copyrighted work claimed to be infringed
Description of where the infringing material is located (URL or specific location)
Your contact information (name, address, phone, email)
A statement of good faith belief that the use is unauthorized
A statement that the information is accurate and you are authorized to act
Your physical or electronic signature

Counter-Notification:
If your content was removed due to a DMCA notice and you believe it was removed in error, you may submit a counter-notification with the same information plus a statement consenting to jurisdiction.

Repeat Infringer Policy:
We may terminate accounts of users who repeatedly infringe copyright.

11. Termination

By You:
You may terminate your account at any time through Settings or by contacting hello@mealistapp.com. Upon termination:

Your access to the Service ends immediately
Your subscription will not renew
Your data will be deleted per our Privacy Policy

By Us:
We may suspend or terminate your account immediately if you:

Violate these Terms
Engage in fraudulent activity
Use the Service in a harmful or abusive manner
Fail to pay subscription fees

Effect of Termination:
Upon termination:

Your license to use the Service ends
We are not liable for any loss of data or access
No refunds will be provided except as stated in Section 7
Certain provisions survive termination (Sections 4, 8, 12, 13, 14, 15)

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

Merchantability, fitness for a particular purpose, and non-infringement
Uninterrupted, timely, secure, or error-free operation
Accuracy, reliability, or quality of content
Freedom from viruses or harmful components

Recipes and Nutritional Information:
We do not guarantee the accuracy of recipes, nutritional information, or cooking instructions. Recipe content is provided by third parties or users. Always use your judgment when following recipes, especially regarding food allergies, dietary restrictions, and food safety.

You assume all risks associated with using the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIRST MANGO VENTURES, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS (“MEALIST PARTIES”) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM:

Your use or inability to use the Service
Unauthorized access to your data
Errors, mistakes, or inaccuracies in content
Third-party conduct or content
Any other matter relating to the Service

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

$50.00, or
The amount you paid us in the 12 months preceding the claim

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Mealist Parties from and against all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any law or third-party rights
Your negligence or willful misconduct

15. Arbitration and Class Action Waiver

Binding Arbitration:
Any dispute, claim, or controversy arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Individual Basis Only:
You and Mealist agree to arbitrate disputes on an individual basis only. You waive the right to participate in class actions, class arbitrations, or representative actions.

Exceptions:
Small claims court actions and injunctive relief requests may be brought in court.

Location:
Arbitration shall take place in Bethesda, Maryland, or another mutually agreed location.

Costs:
Each party shall bear their own costs unless otherwise awarded by the arbitrator. We will pay your arbitration fees if the claim is for less than $10,000 and brought in good faith.

Jury Trial Waiver:
YOU AND MEALIST WAIVE THE RIGHT TO A JURY TRIAL.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles.

Any claims not subject to arbitration shall be brought exclusively in the state or federal courts located in Montgomery County, Maryland, and you consent to personal jurisdiction there.

17. Changes to These Terms

We may modify these Terms from time to time. When we make material changes:

We will update the “Effective Date” at the top
We will notify you by email or in-app notification
Changes take effect 30 days after notification

Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the changes, you must stop using the Service and close your account.

18. General Provisions

Entire Agreement:
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mealist regarding the Service.

Severability:
If any provision is found invalid or unenforceable, the remaining provisions shall continue in full effect.

No Waiver:
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment:
You may not assign or transfer these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

Language:
These Terms are drafted in English. Any translations are provided for convenience only. The English version shall prevail in case of conflict.

Force Majeure:
We are not liable for delays or failures in performance due to causes beyond our reasonable control.

Export Control:
You agree to comply with all applicable export laws and regulations.
