Welcome to Mealist! These Terms of Service ("Terms") govern your access to and use of the Mealist application, website, and services (collectively, the "Service") provided by First Mango Ventures, LLC ("Mealist," "we," "us," or "our").

By accessing or using Mealist, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Service.

1. Acceptance of Terms

By creating an account or using Mealist, you affirm that you are at least 13 years old and capable of entering into a binding agreement. If you are using Mealist on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Mealist is a recipe management application that allows you to:

• Save and import recipes from various sources (web, social media, files, photos)
• Organize recipes into collections with custom tags
• Create meal plans and generate shopping lists
• Share recipe collections with friends
• Access your recipes across multiple devices (iOS, Android, web)

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration

Account Creation

To use certain features of Mealist, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access or security breach
• Be responsible for all activities that occur under your account

Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we deem harmful to the Service or other users.

4. Subscription Plans and Payments

Free Plan

Mealist offers a free plan with limited features, including:

• 15 recipe imports
• 3 collections
• Basic meal planning and shopping list features

Premium Plan

The Premium plan is available on a monthly ($4.99/month) or annual ($49.99/year) basis and includes:

• Unlimited recipe imports
• Unlimited collections
• Custom tags
• Collection sharing with friends
• All future Premium features

Payment Terms

• Billing: Premium subscriptions are billed in advance on a recurring basis (monthly or annually).
• Auto-Renewal: Your subscription automatically renews unless you cancel before the renewal date.
• Price Changes: We may change subscription prices with 30 days' notice. Changes take effect at your next renewal.
• Payment Methods: We accept major credit cards and other payment methods through our payment processor, Stripe.
• Failed Payments: If a payment fails, we may suspend your Premium features until payment is received.

Cancellation and Refunds

• You may cancel your Premium subscription at any time from your account settings.
• Cancellations take effect at the end of your current billing period.
• We do not offer refunds for partial subscription periods.
• Upon cancellation, your account reverts to the free plan, and you retain access to recipes within free plan limits.

5. User Content and Conduct

Your Content

You retain all rights to the content you create or upload to Mealist, including recipes, photos, notes, and meal plans ("User Content"). By using Mealist, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

• Store, display, and process your User Content to provide the Service
• Create backups and ensure technical functionality
• Display your shared collections to users you've chosen to share with

Imported Content

When you import recipes from external sources (websites, social media, etc.), you represent that you have the right to save and use that content for personal, non-commercial purposes. You are responsible for respecting intellectual property rights of recipe creators and content owners.

Prohibited Conduct

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws or regulations in your jurisdiction
• Infringe upon the intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Scrape, crawl, or automatically collect data from the Service
• Impersonate another person or entity
• Use the Service to spam, harass, or abuse other users
• Resell, redistribute, or commercialize the Service without our permission
• Reverse engineer, decompile, or disassemble the Service

6. Intellectual Property Rights

Mealist's Rights

The Service, including its design, features, software, logos, and trademarks, is owned by Mealist and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

Third-Party Content

Recipes imported from external sources remain the intellectual property of their original creators. Mealist does not claim ownership of third-party recipes. You are responsible for using imported content in accordance with applicable copyright laws and terms of service of the source platforms.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Mealist, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services and Links

Mealist may integrate with or link to third-party services (such as Instagram, YouTube, recipe websites, and payment processors). We are not responsible for:

• The availability, content, or practices of third-party services
• Any issues arising from your use of third-party services
• Changes or discontinuation of third-party integrations

Your use of third-party services is subject to their respective terms and privacy policies.

9. Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Imported recipes will be accurate or complete
• Any errors or defects will be corrected
• The Service will meet your specific requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEALIST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Culinary and Dietary Disclaimers

Recipes on Mealist are user-generated or imported from external sources. We do not verify the accuracy, safety, or nutritional information of recipes. You are responsible for:

• Verifying ingredient safety and proper food handling
• Checking for allergens and dietary restrictions
• Following safe cooking practices
• Consulting healthcare professionals for dietary advice

10. Indemnification

You agree to indemnify, defend, and hold harmless Mealist, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising out of:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another party

11. Dispute Resolution and Governing Law

Governing Law

These Terms are governed by the laws of the State of Maryland, United States, without regard to its conflict of law provisions.

Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, rather than in court. You waive your right to a jury trial and to participate in class actions.

Exceptions

Either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights.

12. Changes to Terms

We may update these Terms from time to time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Notify you via email or through the app
• Provide you with an opportunity to review the changes before they take effect

Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

13. Termination

You may terminate your account at any time by contacting us at hello@mealistapp.com. Upon termination:

• Your right to use the Service ceases immediately
• You may export your recipes before deletion
• We will delete your account and data within 30 days, unless legally required to retain it
• Subscription payments are non-refundable

We may terminate or suspend your account immediately if you violate these Terms, without prior notice or liability.

14. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mealist regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

No Agency

Nothing in these Terms creates a partnership, joint venture, or agency relationship between you and Mealist.
